These Terms of Service govern the use of websites, online services and software tools operated or managed by HANDELSHAGE AS, including PanelAI Social Media.

2. Brands and websites operated or managed by HANDELSHAGE AS

HANDELSHAGE AS operates and manages multiple brands, websites and online services. PanelAI Social Media may be used to create, manage, schedule and publish content for these brands.

HANDELSHAGE AS may add, remove or reorganise brands, websites and services in the future.

3. About PanelAI Social Media

PanelAI Social Media is a social media management, content creation and publishing tool operated by HANDELSHAGE AS.

The service may be used to:

• create and manage social media campaigns,
• generate text, images, audio and video content,
• manage content for different brands,
• schedule social media publications,
• connect authorised social media accounts,
• publish content to supported social media platforms,
• retrieve publication status and permitted analytics,
• manage publication history and campaign information.

PanelAI may integrate with third-party services such as TikTok, Meta, OpenAI, Runway and other technology providers required to provide its functionality.

4. Authorised use

PanelAI is primarily intended for internal business use by HANDELSHAGE AS and other authorised users.

Users may only connect social media accounts, websites, brands or other digital assets that they own or are authorised to manage.

Users must not use the service to:

• violate applicable laws or regulations,
• infringe intellectual property rights,
• publish unlawful, harmful or intentionally misleading content,
• access or manage third-party accounts without permission,
• attempt to bypass security measures or platform restrictions,
• use integrations in violation of third-party platform rules.

5. Social media integrations

PanelAI may connect to social media platforms using their official APIs and authentication systems.

When a user connects TikTok, Facebook, Instagram or another supported account, the user explicitly authorises PanelAI to access the permissions granted during the platform’s official authentication process.

PanelAI only receives access that has been authorised by the connected account and permitted by the relevant platform.

Available functionality may depend on:

• permissions granted by the user,
• account type,
• platform API availability,
• regional restrictions,
• third-party platform rules and policies.

HANDELSHAGE AS does not control third-party social media platforms and cannot guarantee continuous availability of their APIs or services.

6. TikTok integration

PanelAI may use TikTok’s official authentication and Content Posting APIs to connect authorised TikTok accounts and publish authorised content.

TikTok authentication is performed through TikTok’s official authorisation process. HANDELSHAGE AS does not request TikTok passwords.

Depending on the permissions granted by the account holder, PanelAI may:

• identify the connected TikTok account,
• upload authorised content,
• publish authorised videos or other supported content,
• check publication status,
• retrieve permitted publication information and analytics.

7. Content creation and artificial intelligence

PanelAI may use artificial intelligence systems to assist with the creation of text, images, audio, video, campaign concepts and other social media content.

AI-generated content may be created using external technology providers.

AI-generated content should be reviewed before publication where appropriate.

The authorised user remains responsible for ensuring that content published through PanelAI is accurate, lawful and appropriate for the intended platform.

8. Third-party services

PanelAI may rely on external service providers to provide technical functionality.

These providers may include:

• TikTok — authentication and content publication,
• Meta — Facebook and Instagram integrations,
• OpenAI — artificial intelligence services,
• Runway — video generation and processing,
• hosting, infrastructure and security providers.

Third-party services are governed by their own terms, policies and availability requirements.

HANDELSHAGE AS is not responsible for changes, outages or restrictions imposed by third-party platforms.

9. Intellectual property

The PanelAI software, interface, workflows and related technology are owned by or lawfully used by HANDELSHAGE AS.

Product names, trademarks, logos, photographs and other third-party materials remain the property of their respective owners or rights holders.

Content belonging to brands managed through PanelAI remains the property of the respective owner or authorised rights holder.

10. User content and permissions

Users remain responsible for content they provide to PanelAI or authorise PanelAI to process.

By using the service, the user confirms that they have the necessary rights or permissions to use submitted product information, images, videos, trademarks, logos and other materials.

11. Availability

We aim to keep PanelAI and our related services available and reliable, but we do not guarantee uninterrupted operation.

Services may occasionally be unavailable because of:

• maintenance,
• technical problems,
• security updates,
• third-party API changes,
• provider outages,
• circumstances outside our reasonable control.

12. Limitation of liability

To the maximum extent permitted by applicable law, HANDELSHAGE AS is not responsible for indirect or consequential losses resulting from:

• interruption of third-party platforms,
• changes to external APIs,
• rejected, delayed or failed social media publications,
• incorrect use of the service,
• content published without appropriate review,
• unauthorised use of connected accounts by an authorised user’s credentials.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

14. Changes to the service

HANDELSHAGE AS may modify, improve, replace or discontinue features of PanelAI or related services.

Features may also change because of changes made by third-party platforms or technology providers.

15. Changes to these Terms

We may update these Terms when our services, brands, integrations or legal requirements change.

16. Governing law

These Terms are governed by Norwegian law.

Any dispute should, where possible, first be resolved through direct communication with HANDELSHAGE AS.

Where a dispute cannot be resolved directly, it may be brought before the competent Norwegian courts in accordance with applicable law.
